4. Digital Content:

 

Certain digital items (images, transmissions, glyphs, downloadable content, Discord access, or early drops) are licensed, not sold. You may not copy, resell, distribute, modify, or claim ownership of digital assets from Hineni.

 

4.1 NFTs, Tokenized Content, and Digital Ownership

 

4.1-a. Ownership Distinction (Token vs. Art) The purchase, holding, or transfer of a Non-Fungible Token (NFT) associated with Hineni does not transfer ownership of the underlying intellectual property (copyright), narrative elements, glyphic language, brand elements, or any other Hineni IP. The buyer only acquires ownership of the digital token on the blockchain and any physical item (apparel or merchandise) specifically associated with that NFT. This acquisition does not include any copyright or intellectual property rights. All intellectual property rights in the underlying artwork, characters, glyphs, transmissions, videos, and other creative elements remain the exclusive property of Hineni (or, in the case of contest submissions, of the original artist, unless the specific contest rules state otherwise).

 

4.1-b. License Granted to NFT Holders By purchasing a Hineni NFT, you receive a personal, non-exclusive, non-transferable, worldwide, royalty-free license to:

• Display the artwork associated with the NFT for personal, non-commercial use.

• Display it in digital galleries, wallets, or non-commercial metaverse spaces.

• Display it on marketplaces for the sole purpose of reselling the NFT.

You do not have the right to:

• Use the artwork associated with the NFT for commercial purposes or profit.

• Create derivative works, merchandise, physical products, or new NFTs from the Artwork.

• Claim authorship or copyright over the Artwork.

A separate written agreement and an explicit commercial license are required for any commercial use of the Artwork.

 

4.1-c. Minting of NFTs from Contest Submissions

If an artwork or creative submission selected by Hineni is minted (tokenized) as an NFT by Hineni:

The Artist retains copyright unless the specific contest rules state otherwise regarding cession or exclusive licensing.

The Artist grants Hineni the necessary rights to perform the minting, listing, and initial sale of the NFT.

Royalties from secondary-market NFT sales will be distributed according to the percentage and structure defined in the specific contest rules for that contest.

 

4.1-d. Secondary Market Royalties (Smart Contract)

Hineni may set a royalty fee on the resale of NFTs in secondary markets. These royalties are collected automatically via the smart contract and distributed according to the structure defined for the corresponding collection within the smart contract.

 

4.2 Fictional Nature of Content

All narrative elements, characters, locations, events, names, and systems (including the Pulse system and the glyphic language) presented on the Site, in the blog, or in any associated media are works of fiction and imagination. They are not intended to represent real people, places, events, or entities, nor are they intended to provide professional advice (financial, legal, medical, or otherwise). Any resemblance to actual persons, living or dead, or actual events is purely coincidental.

5. Community & Conduct:

By joining our Tribe (Discord or any linked community spaces), you agree to:

• Respectful behavior

• No harassment, hate, or harm

• No spam or solicitation

We may remove users who violate community standards.

5.1 Community Content Disclaimer

 

You acknowledge that Hineni is merely a host of the community spaces (including Discord, forums, and comment sections). The opinions, statements, advice, and views expressed by members in these community spaces are those of the individual members alone and do not necessarily reflect the official views or positions of Hineni or its owners.

Hineni is not responsible for the accuracy, completeness, or legality of content posted by any user, and we expressly disclaim all liability arising from such content.

5.2 Zero Tolerance Policy and Law Enforcement Cooperation

 

Hineni enforces a strict zero-tolerance policy against illegal conduct, including but not limited to:

• hate speech (based on race, ethnicity, national origin, religion, disability, gender, gender identity, sexual orientation, or any other characteristic),

• harassment,

• threats,

• illegal activity,

• defamation,

• or promoting radical and violent ideologies. ​

 

5.3 Violation and Reporting:

You acknowledge that violation of this policy may result in immediate and permanent termination of your account and access to the Hineni ecosystem, without notice or refund. Furthermore, you agree that Hineni reserves the right, and may be legally required, to cooperate fully with law enforcement and government authorities, including the sharing of your personal information and submitted content, if we believe such sharing is necessary to comply with legal obligations, prevent imminent harm, or respond to legal processes (such as subpoenas or court orders) related to your alleged unlawful conduct.

6. Referral Program:

6. Referral and Rewards Ecosystem

 

6.1 General Terms. Hineni maintains a multi-tiered Rewards Ecosystem designed to incentivize community growth, content creation, and engagement across all Hineni platforms (including the Site, Discord, and linked stores). Participation in this Ecosystem constitutes acceptance of these Terms and the specific rules of each program.

6.2 Referral Program (Level 1 - Traffic & Sales). For every new member referred who successfully subscribes to the Site through the official referral system, the Referrer shall receive a single-use discount code applicable to a future purchase on Shopify or Etsy, subject to terms specified at the time of issuance. Self-referrals or fraudulent activity, as determined by Hineni, will result in immediate disqualification and voiding of the discount.

6.3 Content Creation Contests and Royalties (Levels 2 & 3). Hineni conducts periodic contests (e.g., bi-weekly theory contests, monthly graphic art contests) that grant winners rewards, access, and potential compensation:

• Contest Incentives: Winners may receive single-use discount codes (e.g., 50% off) for Hineni apparel.

• Role Progression: Participation and community voting may lead to role advancement (e.g., Observer) within the community, granting increased access (e.g., to the glyphic grammar blog) and voting power.

• Royalty Agreements: When a submission (text, theory, art) is selected for commercial exploitation (e.g., inclusion in the Fandom Book, or sale as Limited Edition Phygital Art), the artist or author will receive royalties on Net Sales. All terms concerning royalty percentages, payment schedules, and usage rights will be governed exclusively by the specific Contest Rules and a separate Written Agreement.

 

6.4 Final Authority and Modification.

You acknowledge that Hineni reserves the exclusive right and final authority to:

• (a) determine contest results, including overruling community votes when necessary (e.g., based on legality, quality, or fit with the canon);

• (b) define, modify, or terminate member roles and access privileges; and

• (c) modify the terms and rewards of the entire Ecosystem at any time without prior notice.

 

6.5 FTC Disclosure Requirement (Ambassadors and Referrers).

You agree that if you promote Hineni products, services, or contests in exchange for a reward, commission, or compensation (including discounts or royalties), you are acting as a brand ambassador or compensated partner. You are legally required to clearly and conspicuously disclose your material connection with Hineni in any promotional communication (e.g., "Paid Partner," "I received this product for free," or similar language as required by FTC guidelines). Failure to disclose may result in termination from the Ecosystem and forfeiture of accrued rewards/royalties.

7. Intellectual Property:

7.1 Hineni IP

 

All brand elements, including but not limited to the Hineni name and logo, the Pulse system, the glyphic language, artwork and visuals created by or for Hineni, narrative elements, and custom names, roles, and universe terminology, are the exclusive property of Hineni.

Any unauthorized use, reproduction, distribution or modification of Hineni IP is prohibited.

7.2 User Content & Submissions:

 

You retain ownership of the original content you create and submit (including artwork, writing, designs, music or any other creative work). By submitting content to Hineni (for example through contests, community calls, “The Council” or similar initiatives), you grant Hineni a worldwide, non-exclusive, royalty-free license to use, reproduce, display, distribute and adapt that content in connection with the Hineni universe and its promotion (including on the website, social media, digital galleries and printed materials), while crediting you where reasonably possible.

 

**Clarification on Inspiration and Canon:**

 

Theories and insights submitted to The Thinker Order that are chosen as "Pulse of the Cycle" may be stored in the Fandom Art Vault and may inform community discussions or future thematic explorations. Such general use or the possibility of seeing your ideas inspire the official lore does not automatically confer any claim to co-authorship, ownership, or commercial royalties.

For specific programs or contests where selected works are printed on garments, used in limited collections, compiled into books or otherwise monetized, additional contest rules will apply.

These may include a time-limited exclusive commercial license (for example, an exclusive 1-month license with royalties on each item sold during that period, or a publishing license with royalties on Net Sales of a book that includes the winning work), as described in the specific contest rules.

7.3 Indemnification​:

You agree to indemnify, defend, and hold harmless Hineni, its owners, affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, or expenses (including reasonable legal fees) arising out of or related to:

• any breach of these Terms,

• any violation of intellectual property, privacy, publicity, or contractual rights by content you submit,

• any third-party claims regarding the artwork, text, theories, designs, or materials you provide,

• any allegation that your submitted content infringes or misappropriates the rights of another party.

This clause applies to all submissions, including but not limited to:

• art contests,

• writing contests or theories,

• community calls,

• NFT-related content,

• Discord activity,

• or any material contributed to the Hineni ecosystem.

This obligation survives termination of your account or your use of the Site.

8. Payments:

By placing an order, you authorize us to charge your selected payment method.

11.1 General Disclaimer

 

To the maximum extent permitted by law, the Site, its content, products, and services are provided "as is" and "as available," without warranties of any kind, either express or implied. Hineni is not liable for:

• Indirect, punitive, special, exemplary, or incidental damages.

• Loss of profits, revenue, data, goodwill, or business opportunity.

• Technical issues, service interruptions, viruses, or unauthorized access to your data or account.

You use the Site, the Hineni universe, and participate in contests at your own risk.

 

11.2 Monetary Limitation of Liability

 

In no event shall Hineni’s total aggregate liability to you for any and all claims, damages, losses, and causes of action (whether in contract, tort, or otherwise) arising out of or related to these Terms, the Site, or your use thereof, exceed the greater of:

• The total amount paid by you to Hineni for products or services in the twelve (12) months immediately preceding the claim; OR

• One Hundred United States Dollars ($100.00 USD).

This limitation applies even if Hineni has been advised of the possibility of such damages.

Continued use of the Site means you accept the revised Terms.

13. Governing Law & Jurisdiction:

These Terms, and any dispute, claim, or legal matter arising from or related to your use of the Site, the Hineni universe, purchases, digital content, community participation, or contest submissions, shall be governed by and interpreted in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law principles.

Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Delaware, USA, and you hereby consent to the personal jurisdiction of those courts.
