These Terms & Conditions (“Terms”) govern your access to and use of hinenibrand.online, our linked stores (Shopify, Wix Store), the Awaken Hall, Fandom Vault, Laureates Archive, Artifacts, Wormhole of Messengers, and all related digital experiences, products, memberships, rewards, lore archives, and services provided by Hineni Global LLC.

On-Demand Production: Apparel, limited merchandise, and physical artifacts are produced custom on demand through specialized manufacturing and fulfillment partners. Once an order enters the production pipeline, order modifications or cancellations cannot be guaranteed.
Shipping & Delays: Carrier delays, customs inspections, and international duties are outside Hineni's control. Risk of loss passes to the buyer upon carrier handover.
Returns: Physical goods damaged in transit or bearing manufacturing defects must be reported to signal@hinenibrand.online within fourteen (14) days of delivery, accompanied by photo verification. Non-defective, made-to-order apparel items are generally non-returnable.

4.2-a. Ownership Distinction (Token vs. Intellectual Property):

The purchase, holding, transfer, or claiming of a Non-Fungible Token (NFT) associated with Hineni does not transfer ownership of the underlying intellectual property (copyright), narrative universe, pasigraphic/glyphic language, visual art, character designs, or brand marks. The collector acquires exclusively cryptographic ownership of the decentralized token record on the blockchain and, where specifically designated, legal ownership of the paired physical garment or artifact ("Phygital Edition"). All intellectual property rights in the underlying creative assets remain the exclusive property of Hineni Global LLC (or the original submitting artist under explicit contest agreements).
4.2-b. Limited License Granted to NFT Holders:

By holding an authentic Hineni NFT, you receive a personal, non-exclusive, non-transferable, worldwide, royalty-free license to:
- Display the artwork associated with the NFT for personal, non-commercial viewing.
- Display the artwork within personal digital galleries, non-custodial wallets, and virtual spaces.
- Display the token on secondary decentralized marketplaces solely for the purpose of reselling or transferring the NFT.
- Restrictions: You do not acquire the right to commercialize the artwork, manufacture physical or digital merchandise, produce derivative works, mint subsidiary tokens, or assert copyright ownership over the artwork.
4.2-c. Multi-Chain Network Routing:

You acknowledge and accept that Hineni operates across decentralized Layer-2 networks and protocol interfaces:
- OpenSea (Polygon Network): Utilized for primary curated drops, secondary marketplace transactions, and digital collectible transfers.
- Manifold (Base Network): Utilized for the minting, cryptographic verification, and claim mechanisms of digital twin NFTs paired with physical streetwear orders.
4.2-d. Non-Financial Asset Disclaimer (No Securities / No Investment):

All Hineni NFTs, digital tokens, and phygital claims are developed, marketed, and delivered exclusively as narrative art collectibles, speculative memorabilia, and functional access badges. They do not constitute securities, investment contracts, shares, collective investment schemes, debentures, or financial instruments of any kind under the laws of the United States, Delaware, or any foreign jurisdiction. Hineni Global LLC makes no representations, warranties, or guarantees regarding future monetary value, secondary market liquidity, price appreciation, or financial returns.
4.2-e. Self-Custody and Irreversible Blockchain Transactions:

All transactions executed across the Polygon and Base blockchains are public, autonomous, and strictly irreversible. Hineni Global LLC does not operate custodial wallets and possesses no access to your private keys or seed phrases. You are solely responsible for verifying contract addresses, maintaining wallet cybersecurity, and paying network transaction fees ("gas fees"). Hineni Global LLC disclaims all liability for irreversible smart contract executions, failed transactions, compromised private keys, or wallet incompatibilities.
4.2-f. Secondary Market Royalties:

Hineni may encode automated secondary-market royalty fees within the smart contracts on Polygon and Base. These fees are enforced protocol-side to support community initiatives, lore archives, and production infrastructure.

4.3 Fictional, Narrative, and Satirical Disclaimer

All narrative worldbuilding, lore manuscripts, multimedia productions, animated episodic releases, synthetic personas, cyborg dialogues, historical analyses, character arcs, and systems (including The Thinker Order, Awaken, the Pulse architecture, and the glyphic/pasigraphic framework) are proprietary works of creative fiction, speculative fiction, philosophy, and political satire.

Public Domain, Archival, and Geophysical Data: The narrative, dialogues, and multimedia materials deliberately incorporate verifiable public records, historical figures, documented geopolitical events, archival reports of unidentified anomalous phenomena (UAP/UFO), and empirical seismic or planetary data (including public timestamps, magnitudes, and geographic coordinates). 5.3 Zero Tolerance Policy and Law Enforcement Cooperation

Hineni enforces an uncompromising zero-tolerance policy against unlawful conduct across all ecosystem channels, including but not limited to:

Hate speech (targeting race, ethnicity, national origin, religion, disability, gender, gender identity, or sexual orientation).
Harassment, stalking, explicit threats of physical or digital violence.

6.2 Community Submissions and Canon Integration

Submissions: Members may submit essays, linguistic theories, visual concepts, and creative writing through designated portals.
Role Progression: Consistent, high-caliber participation may result in role promotions within the community (e.g., Observer status or equivalent analytical ranks), unlocking elevated access privileges and participation in curated debates.
Incentives: Selected winning entries may receive promotional discount codes for physical apparel across Shopify or Wix Store, subject to specified terms and expiration dates upon issuance.

6.3 Commercial Monetization and Bilateral Royalty Agreements

When a submitted work (literary manuscript, lore theory, or graphic art piece) is selected for official commercial monetization—such as compilation into printed anthologies (Fandom Books), permanent archival publications, or pairing with a Limited Edition Phygital release:

Any unauthorized reproduction, scraping, reverse-engineering, machine-learning dataset training, public broadcasting, or commercial exploitation is strictly prohibited under international copyright, trademark, and trade secret laws.

7.2 User Content Licensing

You retain underlying copyright ownership of original creative writing, theories, or artwork you submit to Hineni open calls. However, by submitting content, you grant Hineni Global LLC a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable license to use, reproduce, display, format, and distribute that submission across Hineni platforms, archives (Fandom Vault), digital galleries, and promotional media, with creator attribution where technically feasible.

Clarification on Inspiration and Canon Lore:

Insights, speculative theories, or linguistic analyses submitted to community calls that inform official universe developments become part of the collective narrative canon. Such conceptual inspiration does not confer co-authorship status, proprietary claims, or monetary rights against Hineni Global LLC.

7.3 Indemnification

You agree to indemnify, defend, and hold harmless Hineni Global LLC, its managers, members, affiliates, officers, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

Any breach by you of these Terms;

8. Payments

9. Shipping & Delivery

Delivery timelines are estimates and cannot be guaranteed. Hineni Global LLC is not liable for carriage delays, customs inspections, import duties, natural disruptions, or carrier handling failures once an order is transferred to the logistics carrier. Risk of loss and title for physical items pass to you upon delivery to the carrier.

10. Returns & Refunds

On-Demand Apparel & Artifacts: Because items are manufactured custom to order, cancellations or returns for preference or sizing discrepancies are not accepted.
Damaged or Defective Items: In the event an item arrives damaged or exhibits manufacturing defects, you must contact signal@hinenibrand.online within fourteen (14) days of delivery with photographic evidence. Defective items will be replaced or refunded at our discretion.
Digital Goods & NFTs: All digital downloads, NFT sales, and blockchain claims are final, non-refundable, and non-exchangeable.

11. Limitation of Liability

11.2 Monetary Cap on Liability

In no event shall the total aggregate liability of Hineni Global LLC for all claims, disputes, damages, or causes of action arising out of or related to these Terms, the Site, products, or digital assets exceed the greater of:

The total monetary amount paid by you to Hineni Global LLC for products or services in the twelve (12) months immediately preceding the event giving rise to liability; OR
One Hundred United States Dollars ($100.00 USD).
